1. Definitions

In these Terms of Sale, "Mobineko", "we", "us" and "our" refer to Mobineko, its directors, employees and agents. "Customer", "you" and "your" refer to the individual or entity placing an order with Mobineko. "Order" means any request for the manufacture of vinyl records and associated services, including but not limited to cutting, pressing, printing and packaging. "Products" means all vinyl records and related materials manufactured by Mobineko pursuant to an Order. "Production Arts" means all audio files, artwork and other materials the Customer is required to supply for the fulfilment of an Order.

2. Contract Formation & Acceptance

By placing an Order with Mobineko you confirm that you have read, understood and agreed to these Terms of Sale in their entirety. A binding contract between you and Mobineko is formed when we issue an order confirmation or invoice, whichever occurs first. We reserve the right to decline any Order at our sole discretion.

Any quotation provided by Mobineko is valid for thirty (30) calendar days from its date of issue unless otherwise stated in writing. Quoted estimated shipping dates assume that cleared payment and all Production Arts conforming to our published specifications are received on the same day the Order is placed.

3. Copyright & Intellectual Property

Important: Mobineko does not manufacture bootlegs, unauthorised pressings, unauthorised video game music, or "giveaway/promo records" of copyrighted material for which you do not hold the rights.

By placing an Order you warrant and represent that you own or hold valid licences for all intellectual property embodied in the Production Arts, including but not limited to musical compositions, sound recordings, artwork, logos and trademarks. You further warrant that the manufacture, distribution and sale of the Products will not infringe the rights of any third party.

If Mobineko reasonably suspects any breach of copyright, trademark or other intellectual property law, we may suspend or cancel your Order immediately without liability to you. You will be responsible for all production costs already incurred unless you can provide, to our reasonable satisfaction, a valid licence or proof that all work is your own.

You agree to indemnify, defend and hold harmless Mobineko, its directors, employees and agents from and against any and all claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from or in connection with any infringement or alleged infringement of intellectual property rights relating to your Order.

Post-Order Copyright Detection

Mobineko may, at any stage during or after the production process, receive information indicating that a Customer's audio or other Production Arts may infringe third-party copyright or constitute an unauthorised pressing, whether through automated content-matching systems, external reports, IFPI bulletins or any other means. In such circumstances, Mobineko will notify the Customer and request firm proof of ownership or a valid licence within a reasonable timeframe. If the Customer is unable to provide such proof to Mobineko's reasonable satisfaction, we will cancel the Order immediately and the Customer shall be liable for all costs incurred by Mobineko up to the date of cancellation in full, including but not limited to materials, labour, cutting, plating, pressing, printing and any other production costs. No refund of any amount previously paid will be issued in these circumstances. This provision applies regardless of the stage of production at which the issue is identified.

4. Payment

Full payment is required before production begins. No Order will enter the production queue until cleared funds have been received by Mobineko. All prices are as quoted and are exclusive of any applicable import duties, taxes or customs charges at the destination unless explicitly stated otherwise.

Where the Customer cancels or modifies an Order after payment has been made and a refund or credit is due, the Customer acknowledges and agrees that all third-party payment platform fees and financial processing charges incurred by Mobineko in connection with the original payment (typically approximately 5% of the transaction value) shall be deducted from any refund or credit issued. This deduction applies regardless of the reason for cancellation or modification.

5. Audio, Mastering & Recutting

Please check your audio carefully before sending. The cost for recutting both sides of a short run order is more than half of the entire order value. It's in everybody's interest to avoid costly recuts and replating. Mobineko is here and happy to help with any questions before ordering.

Mobineko will cut the audio files you supply to a vinyl master as closely as possible to your original audio. We do not perform any additional mastering or audio processing unless expressly agreed in writing. It is the Customer's responsibility to ensure that audio files are properly mastered for vinyl prior to submission.

Poorly mastered audio will sound worse on vinyl. Long runtimes result in lower audio quality. Mobineko will not accept any claims relating to audio quality issues caused by the source material, including but not limited to "muddy" or distorted cuts attributable to excessive runtime, poor mastering, or other deficiencies in the supplied files. If you are unsure whether your audio is suitable for vinyl, please contact your account manager before placing your Order — we are happy to advise.

6. Production Quantities

Due to the nature of vinyl manufacturing, Mobineko can only guarantee to supply within ±10% of the quantity ordered. We routinely manufacture more records than the ordered quantity; however, technical factors may occasionally result in a higher number of failed pressings than anticipated.

Any excess records above the ordered quantity will be supplied to the Customer free of charge. Where the delivered quantity is less than the ordered quantity by fewer than 5–10%, no refund will normally be issued. Where the shortfall exceeds 10% of the ordered quantity, a pro-rata refund for the shortfall will be issued automatically.

7. Shipping & Delivery

Finished vinyl ships from Taiwan. Delivery times vary from a few days to several weeks depending on your location and chosen shipping method.

Estimated shipping dates are indicative only and are not guaranteed. Vinyl manufacturing is a complex process involving specialised equipment that is subject to mechanical breakdowns and other unforeseen delays. You should not book release events, tours, parties or other time-critical engagements based solely on our estimated shipping dates. If you have a firm deadline, please contact us before placing your Order so we can advise on feasibility.

Risk of loss or damage to Products passes to the Customer upon delivery to the shipping carrier. Mobineko will use commercially reasonable efforts to ensure Products are packaged adequately for transit. Claims for shipping damage should be made directly with the carrier, though Mobineko will provide reasonable assistance with any such claims upon request.

Mobineko is not responsible for any customs charges, storage fees, surcharges, return-to-sender costs or other expenses arising from the Customer's failure to respond to the shipping carrier within a reasonable time, failure to provide accurate delivery information, failure to pay applicable duties or taxes, or any other cause attributable to the Customer.

8. VAT, Import Duties & Customs

Shipments to the United Kingdom and Ireland include VAT calculated at the applicable rate at the time of invoicing. For all other destinations, unless we have explicitly agreed to pay import VAT on your behalf, you are solely responsible for all import duties, VAT, taxes and customs charges payable in your country upon arrival of the Products.

If you opted in to our VAT prepayment service for your destination country and such prepayment is reflected on your invoice, Mobineko will remit the applicable VAT on your behalf. Mobineko accepts no liability for any additional charges assessed by customs authorities in excess of the prepaid amount or arising from changes in applicable rates or regulations.

9. Returns, Cancellations & Refunds

9.1 Custom Products — No Right of Return

All Products manufactured by Mobineko are custom-made to the Customer's specifications. Under most applicable consumer protection laws, custom and personalised products are exempt from statutory cooling-off periods and rights of return. Accordingly, once an Order has been accepted and production has commenced, no right of return or cancellation exists.

9.2 Discretionary Cancellation & Refund

At Mobineko's sole and final discretion, we may agree to cancel an Order and issue a refund if the Customer is not satisfied. This is a courtesy offered on a case-by-case basis and does not constitute a contractual right or obligation. Any such refund will be subject to the deduction of payment platform fees as described in Section 4.

If a discretionary cancellation and refund is granted under this Section 9.2, the Customer agrees, as a condition of receiving such refund, that they will place no further Orders with Mobineko. Any subsequent Order placed by a Customer who has previously received a discretionary refund under this section may be declined at our discretion, and no refund will be issued for any such subsequent Order if it is accepted and later disputed.

9.3 Changes & Credits

If the Customer changes their mind about an Order or requests modifications that result in a credit, and the Order has already been paid, the Customer is responsible for all payment platform and financial processing fees incurred by Mobineko as a result of the original transaction (typically approximately 5% of the transaction amount). Such fees will be deducted from any credit or refund issued.

10. Warranty & Defective Products

Mobineko is committed to delivering high-quality pressings. All warranty claims must include a clear description of the issue together with supporting evidence such as photographs, video or audio recordings. Warranty coverage is divided into the following tiers.

10.1 Full Manufacturing Warranty

Mobineko provides a full warranty against defects arising from our manufacturing process, including but not limited to: incorrect labels (wrong text, artwork or placement), incorrect audio pressed to disc, audible scratches caused during pressing, plating errors, and cutting errors. Claims under this warranty must be reported to your account manager within thirty (30) calendar days of receiving the Products. Where Mobineko confirms a manufacturing defect under this section, we will, at our discretion, either replace the affected records at no additional cost or issue a full refund for the defective units.

10.2 Limited Shipping Warranty

Mobineko offers a limited warranty for damage sustained during transit, including physical damage, water damage and heat damage attributable to the shipping carrier. Claims must be reported within thirty (30) calendar days of receiving the Products. Replacement or refund under this warranty is at the sole discretion of Mobineko and may depend on factors including the extent of the damage, the shipping method selected by the Customer, and whether the carrier's own claims process has been engaged. Mobineko will use reasonable efforts to assist the Customer in pursuing carrier claims where applicable.

10.3 Limited Warping Warranty

Mobineko offers a limited warranty for record warping. Claims for warping must be reported strictly within seven (7) calendar days of receiving the Products. Warping claims will be assessed against the quality standards published on our website. Records that fall within the tolerances described in our published quality standards are not considered defective. Replacement or other remedy under this warranty is at the sole discretion of Mobineko.

10.4 Sound Quality & Subjective Claims

Abstract or subjective claims relating to sound quality, surface noise, perceived tonal character, or the general "feel" or "sound" of a pressing do not constitute manufacturing defects and are not covered by any warranty. All such claims will be assessed by Mobineko at our sole and final discretion against our published quality standards. Simply not liking the sound or character of a cut that falls within our published quality standards is not grounds for a refund or replacement. Claims relating to audio quality attributable to the Customer's source material are governed by Section 5 of these Terms.

10.5 General Warranty Conditions

All warranty claims are subject to verification by Mobineko. We reserve the right to request return of defective Products for inspection prior to issuing any remedy. The remedy provided (replacement, refund or other resolution) is at Mobineko's sole discretion in all cases except where a full manufacturing defect under Section 10.1 has been confirmed. Warranty coverage does not extend to defects caused by the Customer's handling, storage or use of the Products after delivery.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Mobineko's total aggregate liability to the Customer in respect of any Order shall not exceed the total amount actually paid by the Customer for that Order.

In no event shall Mobineko be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business opportunities, loss of goodwill, or costs of procuring substitute goods, however caused and whether arising in contract, tort (including negligence), strict liability or otherwise, even if Mobineko has been advised of the possibility of such damages.

Mobineko shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond its reasonable control, including but not limited to equipment breakdown, supply chain disruption, natural disasters, acts of government, pandemics, war, civil unrest or industrial action.

12. Governing Law & Disputes

These Terms of Sale and any disputes or claims arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of China (Taiwan).

The parties agree to first attempt to resolve any dispute through good-faith negotiation. If a dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to the jurisdiction of the courts of Taiwan, which shall have exclusive jurisdiction over any legal proceedings arising from or related to these Terms.

13. General Provisions

Entire Agreement. These Terms of Sale, together with any Order confirmation and invoice issued by Mobineko, constitute the entire agreement between the parties and supersede all prior negotiations, representations, warranties and understandings, whether written or oral, relating to the subject matter hereof.

Amendments. Mobineko reserves the right to amend these Terms of Sale at any time. Any amendments will apply to Orders placed on or after the date of publication of the amended Terms. The version of these Terms in force at the time you place your Order shall apply to that Order.

Severability. If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Waiver. No failure or delay by Mobineko in exercising any right, power or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise preclude any other or further exercise thereof.

Assignment. The Customer may not assign or transfer any rights or obligations under these Terms without Mobineko's prior written consent. Mobineko may assign its rights and obligations under these Terms to any successor or affiliate without the Customer's consent.

Notices. Any notice required or permitted under these Terms shall be in writing and sent to the other party by email or other electronic means to the address provided during the ordering process. Notices shall be deemed received on the date of transmission if sent during the recipient's normal business hours, or on the next business day if sent outside those hours.

Language. These Terms may be provided in multiple languages for convenience. In the event of any conflict between language versions, the English language version shall prevail.
